Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On October 26, 2006, the Board of Directors, upon the recommendation of the Nominating and Corporate Governance Committee approved the appointment of Mr. Christopher Bunka as a director of the Corporation and to the position of Chairman of the Board of Directors, President and CEO. Mr. Bunka has since 1988 been CEO of CAB Financial Services Ltd, his privately-held holding company. He is a venture capitalist and corporate consultant.
Leonard MacMillan will take the position of Vice President of Corporate Development and remain on the Board of Directors.
